Using commandline FTP as a client, is there a way to
overwrite a file if the file already exist?

just upload the file again. use put or mput.

is there a way to prevent ftp.exe from overwriting files?

We have a situation where an FTP put from the mainframe to Win2k fails if the file already exists. The userid specified to FTP has full authority to the directory.
