How to setup a proxy server in apache 1.3.33

i want to create a proxy sever as the following..

1. i have a notebook which will act as the main server.. i get the
internet connection from lan tat is eth1.
2. i want other pc to connect to the internet through wireless lan
where my ip address is different. as the wifi card is eth0
3. in this way i can start internet from the other computer also..

please help
