we had no luck... i'm posting some informations, hoping they will be useful:

ffmpeg-0.4.9-pre1
lame-3-96.1

this is what happens:

ffmpeg version 0.4.9-pre1, build 4718, Copyright (c) 2000-2004 Fabrice
Bellard
built on May 27 2005 11:31:16, gcc: 3.2.3
Input #0, mpeg, from 'demo.mpeg':
Duration: 00:00:26.0, bitrate: 548 kb/s
Stream #0.0: Video: mpeg1video, 304x200, 30.00 fps
Stream #0.1: Audio: mp2, 32000 Hz, stereo, 64 kb/s
Output #0, flv, to 'p.flv':
Stream #0.0: Video: flv, 304x200, 30.00 fps, q=2-31, 400 kb/s
Stream mapping:
Stream #0.0 -> #0.0
[flv @ 0x8286a68]removing common factors from framerate
Press [q] to stop encoding
frame= 918 q=2.0 Lsize= 1593kB time=30.6 bitrate= 426.5kbits/s
video:1556kB audio:0kB global headers:0kB muxing overhead 2.380119%

as you can see there is no output audio stream!

any hint/tip will be appreciated

Ciao!
