I am quite sure that you do need a licence for the second Commerce Server
installation.

I saw that too, but a Stuart Presley from Microsoft Developer Support
Middleware & Internet states that :
"The license agreement will allow you to install Commerce Server 2000 on
the
SQL Server to support the Direct Mailer component. This is the only
configuration where you can potentially have two copies of Commerce Server
on two different machines under the same license (legally)."
