Is there any issue about installing CS2002 and Sharepoint on the same server
?

They can coexist.  We did some prototyping around this some time ago.  The
key thing is to exclude any virtual directory from Sharepoint (WSS really)
so that your commerce site code/Web Services/Business Desk can function.
